Producer/Seller Service (Software) Agreement
Last updated: October 16, 2026
This agreement is published under version 2026-10-v2 and governs the relationship between the Platform operating PrintFlow TR and the producer/seller who will use its software service.
1. Parties
This agreement is concluded electronically between the Platform operating PrintFlow TR and the Producer/Seller (hereafter the “Seller”) applying to use the software service (SaaS) provided by the Platform.
The Seller's details (title, tax office/number, address, contact) appear in the application form; the final agreement is completed electronically when the Seller reads and accepts the documents online at registration/first sign-in.
2. Subject
This agreement sets out the terms under which the Seller may benefit from the software service provided by the Platform for quote and order management within its own branded store operated via the Platform. The Platform is the software/service provider offering this service. The Platform does not produce or sell the product, does not set prices and is not a party to the sales contract; payment for the sale is exclusively between the producer (Seller) and the customer.
3. Plan/Subscription Fee
The Platform charges the Seller only a fixed monthly or annual fee for the plan/subscription chosen. This fee relates to the use of the software service and is independent of product sales. The Platform does not participate in the price or revenue of product sales in any way and takes no share of sales. Plan fees and conditions are shown on the subscription screen in the dashboard.
4. Seller Obligations
The Seller accepts that its company/tax information and tax certificate are accurate and current, that its products/services comply with the legislation, and that consumer claims are its own responsibility. The Seller is further obliged to fulfil tax obligations (including invoice/e-archive/e-SMM) in its own name and to be responsible for the production, quality, defective goods, delivery, shipping, compliance with consumer legislation and return processes of the product. The Seller determines the price and payment terms of the sale it makes to its customer in its own store; payment is entirely between the Seller and the customer.
5. Payments
Customer payment is made entirely between the Seller and the customer. The Platform does not receive payments, does not hold funds and is not a party to the payment. Payment takes place directly via bank transfer/EFT or the Seller's own payment link. Until the Seller's company/tax information, tax certificate or e-SMM document, the online acceptance of the platform documents (digital consent) and the Platform's approval are complete, the Seller cannot open its store for sale.
6. Suspension of the Service and Access
The Platform may suspend the software service or close the Seller's access to its store at any time, even if the agreement and approval are in place. In that case the Seller continues the sales relationship it conducts directly with its customers by its own means.
7. Term and Termination
The agreement remains in force indefinitely unless terminated by either party with 15 days' prior written notice. Rights and obligations accrued until termination survive.
8. Software Infrastructure and Disclaimer
Platform's Role. PrintFlow TR is a service provider that supplies software infrastructure (SaaS) enabling makers and designers to run their own branded digital store and manage requests, quotes, orders and production. The platform does not produce, sell or price products and is not a party to the sales contract between the seller and the buyer. The platform is not a payment institution, bank or financial institution; it does not receive payments, is not involved in the payment process, and does not hold or transfer funds.
Payments. Payment for products and services is made exclusively directly between the producer (seller) and the customer (buyer) (bank transfer/EFT or the producer's own payment link). Collection, refunds, invoicing and all related obligations are solely the responsibility of the relevant producer and customer.
Liability. All legal, commercial and financial responsibility relating to a sale — including production, quality, defects, delivery, shipping, compliance with consumer legislation, returns and tax obligations (invoice/e-archive/e-SMM) — lies between the producer (seller) and the customer (buyer). As the platform is not a party to the commercial relationship, product or payment, it cannot be held liable for claims, disputes or damages arising from that relationship.
Limitation of Liability. The platform provides the software service 'as is' and does not warrant uninterrupted or error-free operation. The platform's liability is limited to direct damages arising from its own fault and to the subscription fee; it is not liable for indirect damages (including loss of profit, loss of data and business interruption).
